Terms & Conditions

These Terms & Conditions ("Terms") govern your use of the KeyStone Tech LLC website and any services provided by KeyStone Tech LLC ("we," "us," or "our"). By using our website or engaging our services, you agree to these Terms. Please read them carefully.

1. Services

KeyStone Tech LLC provides web design, development, SEO optimization, brand identity, and digital marketing services to small businesses. The specific scope of work, deliverables, timeline, and pricing for each project are agreed upon in writing before work begins.

2. No-Risk Draft Review

We believe you should see what you're getting before you fully commit. Our process is structured to protect you at every step:

  • Discovery deposit: A small upfront deposit is required to begin. This covers the time invested in research, strategy, and building your initial design concept.
  • Initial concept review: We present your first design concept before you commit to the full project fee. You review it and decide whether to move forward.
  • Walk away option: If you do not approve the initial concept and choose not to move forward, you are not obligated to pay the remaining project balance. Only the discovery deposit is retained.
  • Revision rounds: Once you approve the concept and commit to the full project, two rounds of revisions are included to refine the design to your satisfaction.
  • Final approval: Nothing goes live without your explicit sign-off.

This guarantee applies to design quality and the initial concept stage. It does not apply to requests made after the concept has been approved and the full project has begun, scope changes, third-party service issues, or features outside the agreed project scope.

3. Payment Terms

A deposit is required before work begins on any project. The deposit amount and payment schedule are outlined in your project agreement. Remaining balances are due upon project completion and client approval before the site goes live.

Payments for ongoing maintenance or retainer services are due on the agreed billing date. Late payments may result in a pause of services until the account is brought current.

4. Revisions & Scope

Each project package includes a defined number of revision rounds as specified in your project agreement. Revisions are changes to the existing design direction. Requests that represent a significant change in direction, new pages, or features outside the original scope may be quoted as additional work.

We will always communicate clearly if a request falls outside the agreed scope before proceeding.

5. Client Responsibilities

To keep your project on schedule, you agree to:

  • Provide all required content (text, images, logos, branding) in a timely manner
  • Respond to design feedback requests within a reasonable timeframe
  • Designate a single point of contact for approvals and decisions
  • Ensure you have the rights to any content you provide to us

Delays caused by late content or feedback may affect the project timeline. We are not responsible for delays resulting from client inaction.

6. Intellectual Property

Upon receipt of full payment, you own the final website design and all custom content created specifically for your project. We retain the right to display the completed work in our portfolio and marketing materials unless you request otherwise in writing.

We retain ownership of any proprietary tools, frameworks, or code libraries used in the development of your site that are not specific to your project.

7. Third-Party Services

Some projects may involve third-party platforms such as domain registrars, hosting providers, payment processors, or marketing tools. We are not responsible for the availability, pricing, or terms of those services. Any costs associated with third-party services are separate from our design fees unless explicitly included in your agreement.

8. Limitation of Liability

KeyStone Tech LLC is not liable for any indirect, incidental, or consequential damages arising from the use of our services or your website. Our total liability for any claim related to a project shall not exceed the total amount paid by you for that project.

9. Termination

Either party may terminate a project agreement with written notice. If you terminate a project after work has begun, you are responsible for payment for all work completed up to the date of termination. Deposits are non-refundable once the discovery and design phase has started.

10. Governing Law

These Terms are governed by the laws of the State of Minnesota. Any disputes arising from these Terms or our services shall be resolved in the courts of Minnesota.

11. Changes to These Terms

We may update these Terms from time to time. The effective date at the top of this page will reflect the most recent revision. Continued use of our services after changes are posted constitutes your acceptance of the updated Terms.
